Overview
Rachel Cassandro supports clients on the tax aspects of mergers and acquisitions, financing transactions, and private equity fund formations and investments. Her experience includes assisting with the tax structuring of domestic and cross-border transactions, analyzing tax considerations for investors and ownership groups, and supporting tax-efficient transaction structures, including tax-free spin-offs and other corporate reorganizations.
Rachel has worked with multinational corporations, private equity funds, and credit funds on a range of domestic and international tax matters. As part of transaction teams, she reviews and drafts transaction documents, prepares transaction structure charts, conducts legal research, reviews IRS forms, and helps identify and analyze tax issues that arise throughout the deal process. She is particularly skilled at translating complex tax concepts into clear, digestible summaries that help clients and deal teams evaluate key considerations and decision points.
Prior to joining Davis+Gilbert, Rachel worked on complex domestic and cross-border transactions at Paul, Weiss, Rifkind, Wharton, and Garrison, where she provided timely, detail-oriented support and assisted in evaluating practical, business-oriented tax considerations.
